1. Agreement to These Terms
These Terms of Service (the "Terms") are a binding agreement between you and PromoFuse ("PromoFuse", "we", "us"). They govern your access to and use of the PromoFuse website, dashboard, public gate and smart link pages, and related services (together, the "Service"). By creating an account or using the Service you agree to these Terms. If you do not agree, do not use the Service.
If you use the Service on behalf of a label, agency, or other organisation, you represent that you have authority to bind that organisation, and "you" refers to it.
2. The Service
PromoFuse lets music creators ("Creators") build download gates, link gates, and smart links: public pages where fans can complete promotional actions (such as following or reposting on third-party platforms, or submitting an email address) in exchange for access to a download or link. The Service also provides analytics and fan data export tools to Creators.
Fans who visit a gate page do not need a PromoFuse account. Sections of these Terms that concern accounts, payments, and content hosting apply to Creators; sections on acceptable use apply to everyone who uses the Service.
3. Accounts
- You must provide accurate registration information and keep it up to date.
- You are responsible for safeguarding your password and for all activity under your account.
- You must notify us promptly of any unauthorised use of your account.
- You must be at least 16 years old (or the age of digital consent in your country) to create an account.
- You may not share, sell, or transfer your account without our written consent.
4. Plans, Payments, and Subscriptions
The Service offers a free tier and paid subscription plans. Paid plans are billed through our payment processor, Stripe. By subscribing you authorise recurring charges to your payment method at the interval shown at checkout until you cancel.
- Subscriptions renew automatically unless cancelled before the end of the current billing period.
- You can cancel at any time from your dashboard; cancellation takes effect at the end of the paid period and you keep paid features until then.
- Except where required by law, payments are non-refundable and we do not provide refunds or credits for partial billing periods.
- We may change plan prices or features with reasonable advance notice; changes apply from your next billing period.
- If a charge fails, we may downgrade your account to the free tier after a reasonable retry period.
PromoFuse does not store your card details; payment information is handled by Stripe under its own terms and privacy policy.
5. Creator Content and File Hosting
Creators may upload files (such as audio files and archives), artwork, text, and links ("Creator Content"). You retain all rights in your Creator Content. You grant us a worldwide, non-exclusive licence to host, store, reproduce, and deliver your Creator Content solely as needed to operate the Service — for example, storing your files with our storage provider and delivering them to fans who unlock your gate.
You are solely responsible for your Creator Content. You represent and warrant that you own or have obtained all rights, licences, and clearances (including in any underlying compositions, recordings, samples, and remixed works) necessary to upload and distribute it through the Service.
- Do not upload content that infringes any third party's copyright, trademark, or other rights.
- Do not upload malware, executables disguised as media, or unlawful content.
- We may remove content and suspend accounts in response to credible infringement notices or legal requirements.
- Rights holders may report infringing content to us at [email protected]; repeat infringers will have their accounts terminated.
6. Fan Data and Creator Responsibilities
When fans complete actions on your gates, the Service collects data on your behalf — including email addresses, names, consent records, and analytics events. For this fan data, you (the Creator) act as the data controller and PromoFuse acts as your data processor, as described in our Privacy Policy.
- You must comply with applicable data protection and anti-spam laws (including the GDPR and CAN-SPAM) when using fan data, in particular when sending marketing emails.
- You must only email fans who gave consent where consent is required, honour unsubscribe requests, and use honest consent wording on your gates.
- You must respond to fan requests to access or delete their data, and you may not sell fan data to third parties.
- If a fan asks us to delete their data, we may do so and will inform you where feasible.
7. Acceptable Use
You agree not to misuse the Service. In particular, you must not:
- Use the Service for unlawful, fraudulent, or deceptive purposes, including phishing or impersonation.
- Use gates to artificially inflate engagement in ways that violate the terms of third-party platforms such as SoundCloud, Spotify, YouTube, or Instagram.
- Probe, scan, or test the vulnerability of the Service, bypass access controls, or scrape the Service at scale.
- Interfere with the Service's operation, including by transmitting malware or generating abusive traffic.
- Resell or white-label the Service without our written agreement.
8. Third-Party Services
Gates can link to and interact with third-party platforms (for example SoundCloud, Spotify, YouTube, Instagram). Those platforms are not operated by us, your use of them is governed by their own terms, and we are not responsible for their availability, behaviour, or any changes to their APIs that affect gate features. When a fan connects a third-party account through a gate, the connection is authorised by the fan directly with that platform.
9. Intellectual Property
The Service itself — including its software, design, and branding — is owned by PromoFuse and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with these Terms. You may not copy, modify, or create derivative works of the Service except as permitted by law. Feedback you send us may be used without obligation to you.
10. Termination
- You may stop using the Service and delete your account at any time.
- We may suspend or terminate your access if you materially breach these Terms, if required by law, or if your use creates risk or legal exposure for us; where practical we will give you notice and a chance to remedy the breach.
- On termination, your gates stop working and your Creator Content and fan data are deleted or scheduled for deletion as described in the Privacy Policy. Export your fan data (CSV export is available on all tiers) before closing your account.
- Sections that by their nature should survive termination (including liability disclaimers and governing law) survive.
11. Disclaimers
The Service is provided "as is" and "as available", without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, that files will be available indefinitely, or that gate actions on third-party platforms will always verify correctly. Keep your own backups of files you upload.
12. Limitation of Liability
To the maximum extent permitted by law, PromoFuse will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or goodwill, arising out of or relating to the Service. Our total liability for all claims relating to the Service is limited to the greater of the amount you paid us in the twelve months before the claim arose and EUR 50. Nothing in these Terms excludes liability that cannot be excluded by law.
13. Indemnification
You will indemnify and hold PromoFuse harmless from claims, damages, and reasonable legal costs arising from your Creator Content, your use of fan data, or your breach of these Terms or applicable law.
14. Changes to These Terms
We may update these Terms from time to time. For material changes we will give reasonable notice — for example by email or a notice in the dashboard — before the changes take effect. Continuing to use the Service after the effective date means you accept the updated Terms.
15. Governing Law
These Terms are governed by the laws of Poland, without regard to its conflict of laws rules, and the courts of Poland have exclusive jurisdiction over disputes arising from these Terms or the Service, except where mandatory consumer protection law gives you the right to bring proceedings where you live.
